Health Law Associate, Mergers & Acquisitions

About the Role:

We are seeking an experienced Health Law Associate to join a nationally recognized healthcare transactions practice representing healthcare providers, private equity firms, investors, and other healthcare organizations in sophisticated mergers and acquisitions, joint ventures, strategic affiliations, and other complex business transactions.

This position is ideal for an attorney with 3 or more years of M&A experience who enjoys working on complex, high-value transactions in a collaborative, fast-paced environment. While experience in the healthcare industry is welcomed, a strong corporate M&A background is the primary qualification, making this an excellent opportunity for attorneys looking to expand into a thriving healthcare transactions practice.

This is a partnership-track opportunity with exposure to nationally recognized clients, sophisticated transactions, and significant client responsibility.

Responsibilities:

• Represent clients in mergers, acquisitions, divestitures, joint ventures, and other complex corporate transactions.
• Draft, review, and negotiate purchase agreements, operating agreements, disclosure schedules, ancillary transaction documents, and related corporate agreements.
• Conduct legal due diligence and prepare comprehensive due diligence reports.
• Coordinate transaction workstreams and manage deal timelines from letter of intent through closing.
• Communicate directly with clients, opposing counsel, investment professionals, consultants, and transaction teams throughout the deal process.
• Lead smaller transactions independently while managing significant portions of larger, more complex transactions.
• Supervise junior associates, specialists, and other transaction team members to ensure timely execution of client matters.
• Analyze corporate governance, organizational structure, and regulatory considerations affecting transactions.
• Collaborate with attorneys across multiple practice areas, including tax, employment, real estate, intellectual property, and regulatory matters.
• Provide practical legal advice that supports clients' strategic business objectives while managing legal risk.
• Maintain exceptional client service while balancing multiple active transactions and competing deadlines.

Qualifications:

• Juris Doctor (J.D.) from an ABA-accredited law school.
• Active membership in good standing, or eligibility for admission, in Massachusetts, New York, or the District of Columbia.
• Minimum of 3 years of corporate M&A experience, preferably gained at a national or regional law firm.
• Significant experience handling sophisticated mergers and acquisitions and other corporate transactions.
• Strong drafting, negotiation, and transactional document management skills.
• Experience conducting legal due diligence and managing transaction processes.
• Ability to independently manage client relationships and transaction workflow.
• Outstanding written, analytical, organizational, and communication skills.
• Ability to thrive in a collaborative, deadline-driven environment.
• Commitment to delivering exceptional client service.

Desired Qualifications:

• Experience representing healthcare providers, healthcare organizations, or private equity sponsors in healthcare transactions.
• Familiarity with healthcare regulatory considerations, including the Anti-Kickback Statute, Stark Law, corporate practice of medicine restrictions, certificate of need (CON), and healthcare licensure requirements.
• Experience working on private equity transactions, recapitalizations, or platform acquisitions.
• Previous experience directing junior associates and multidisciplinary deal teams.
• Demonstrated interest in developing a long-term healthcare transactions practice.
• Strong academic credentials.
• Prior experience at an Am Law 100 or other sophisticated corporate law firm is preferred.
